   1. Approve: Minutes of FY19 October Meeting

Motion: Jim Dorsey, 2nd: Katie Gabriel; approved.

1. Joe: Artistic Report
   1. Reported recent successful tour in Canada.
   2. Described SEMN A Cappella Festival in Rochester.
      1. Joe was able to attend and observe.
2. Joe: Executive Director Report
   1. Gave overview of MSAB Grants awarded earlier this month.
      1. Unbudgeted, will primarily offset singer/staff salaries.
   2. Board discussion re: reasons for success with applications compared to past.
3. Nancy: Treasurer’s report
   1. Accept: October financials

Motion: Nancy Gaschott, 2nd: Paul Scholtz; accepted.

1. Approval of the audit
   1. Auditors gave overview of audit procedure.

Motion: Nancy Gaschott, 2nd: Katie Berg; opposed: Craig Shulstad; approved.

1. Approval of the 990
   1. Board discussion re: wanting additional time to review materials.
   2. Suggestion to conditionally approve 990, subject to questions and concerns of BOD prior to Dec 31. If no changes needed, approval stands and 990 will be submitted in early January.

Motion: Nancy Gaschott, 2nd: Katie Gabriel; conditionally approved.

1. Approval of the Minnesota Charitable Organization Annual Report

Conditionally approved pending approval of 990.

1. Brock/Jon/Joey: Engagement Committee Update
   1. Thanked participants of Thankathon.
   2. Individual giving
      1. Described recent and upcoming fundraising efforts.
      2. Requested information from BOD about potential major donors.
   3. Jon thanked board for annual fund pledges, requested participation from members who have yet to pledge.
   4. Reported Alone Together finished very close to last year, but did not meet goal.
      1. Cantus staff & singers, engagement committee are brainstorming reasons why ticket sales are trending the way they do.
   5. Reported current and upcoming marketing promotions for Christmas with Cantus.
   6. Described upcoming focus groups led by Beth Anne Thompson.
      1. Board discussion re: scope of feedback that will be solicited, timing, location, how results will be utilized.
2. Jeff: Updating Canadian business registration
   1. Current registration is listed under former Cantus staff members.
   2. Request to change registration to Joe Heitz.

1. Jeff: 360 Performance Review of Joe
   1. Provided overview of procedure.
   2. Reminded BOD evaluations will be due Dec 10.
2. Jeff: Strategic Planning Discussion
   1. Board discussion re: internal goals, strategic destination, best way to utilize current resources.
